Terms of Service

1. Who we are and what these terms cover These Terms of Service govern use of the Nephriq website, demonstration application, downloadable materials, calculators, and related services (the Service). The provider and contracting name used in these terms is Nephriq (we, us, or our). By accessing or using the Service, you agree to these terms. If you do not agree, do not use the Service. If you act for an organization, you confirm that you are authorized to do so.

2. Demonstration service The current Service is a demonstration of kidney cost-management, reimbursement review, financial reporting, and benefits-navigation workflows. Sample employers, members, claims, identifiers, rates, and results are fictional. External feeds, AI explanations, and certain document analyses are simulated. Sample-data buttons fill inputs for review; they do not verify information, approve decisions, submit forms, or create an agreement to purchase services.

3. Eligibility and account responsibilities You must be at least 18 years old and legally able to enter an agreement. Keep your sign-in credentials secure and use only the records and actions you are authorized to access. You are responsible for activity under your account and for information you choose to submit. Report suspected unauthorized access through your Nephriq administrator. Demonstration personas are simulated roles, not grants of real-world professional authority.

4. No professional advice or benefit determination The Service does not provide medical diagnosis, treatment, emergency care, legal advice, insurance coverage determinations, or a guarantee of reimbursement. Do not use it to make decisions about an individual's care, eligibility, or benefits without qualified independent review. Contact your treating care team for medical questions and local emergency services for an emergency. Human review of a demo record does not constitute a real claim adjudication or authorization.

5. Calculators, AI-assisted output, and financial examples Calculators and product examples use stated assumptions. They are educational scenarios, not forecasts, actuarial analyses, binding quotes, or promises of savings. AI-assisted or automated output may be incomplete or inaccurate. Verify source documents, rates, assumptions, and calculations before relying on any result. Projected and approved savings are separate from savings supported by reconciled payments. Fees shown in examples are illustrative; commercial fees require a separate written agreement.

6. Your content and permitted data You retain your rights in content you submit. You grant Nephriq permission to host, process, display, and reproduce that content only as needed to operate the Service and fulfill your instructions. You confirm that you have the rights and permissions needed to submit it. Use fictional or properly anonymized demonstration data only. Do not upload protected health information, payment-card data, government identifiers, confidential patient records, or other sensitive personal information to this demonstration. These terms are not a business associate agreement, data-processing agreement, or representation of HIPAA compliance. Production handling of sensitive data requires appropriate agreements and controls before use.

7. Acceptable use Do not misuse the Service, attempt to bypass authentication or authorization, access another person's records without permission, introduce malicious code, interfere with operation, scrape in a way that disrupts the Service, or use it for unlawful, deceptive, or harmful purposes. Do not falsely represent sample records, simulated integrations, or illustrative results as actual customer outcomes or verified professional findings.

8. Intellectual property and access license Nephriq and its licensors retain rights in the Service, its software, design, and original materials, except for your content and third-party materials. Subject to these terms, Nephriq grants you a limited, non-exclusive, revocable right to access and use the Service for authorized evaluation and business purposes. Do not remove ownership notices or redistribute the software except where an applicable license or written agreement permits it.

9. Third-party services and privacy Hosting, sign-in, links, and other third-party services may be governed by their own terms and privacy notices. Nephriq does not control those services or guarantee their availability. The demonstration stores submitted workspace records, uploads, and activity needed to operate its features. Demo messages and support requests remain in the workspace and are not sent externally. Contact your Nephriq administrator for questions about access, content removal, retention, or data handling. Nothing in these terms replaces a legally required privacy notice or consent.

10. Availability, changes, and termination The Service may change, be interrupted, or be discontinued. Nephriq may suspend access for misuse, security concerns, or violations of these terms. You may stop using the Service at any time. Maintain independent copies of information you are permitted to retain. Any paid production services, support commitments, service levels, or retention obligations must be established in a separate written agreement.

11. Disclaimers and liability To the extent permitted by applicable law, the demonstration is provided as is and as available, without warranties of accuracy, fitness for a particular purpose, non-infringement, uninterrupted operation, or a particular financial or clinical outcome. To the extent permitted by law, Nephriq is not liable for indirect, incidental, special, or consequential loss arising from use of the demonstration. Nothing in these terms excludes liability that cannot lawfully be excluded, limits mandatory consumer rights, or excuses fraud or willful misconduct. A signed production agreement may establish different warranties, remedies, or liability limits for its covered services.

12. Revisions, applicable law, and contact Nephriq may revise these terms by publishing a new dated version. Material changes should be communicated before they take effect where required by law. Continued use after an applicable effective date is subject to the revised terms, except where additional notice or consent is legally required. Applicable mandatory law continues to govern; these terms do not select an exclusive court, impose arbitration, or waive class proceedings. If a provision is unenforceable, the remaining provisions continue to apply. A separate signed agreement controls any direct conflict for the services it covers.
